PLEASE READ THESE TERMS OF SERVICE.THESE TERMS OF SERVICE, INCLUDING ANY REVISED AGREEMENTS THAT WE MAY POST FROM TIME TO TIME, STATE THE TERMS AND CONDITIONS UNDER WHICH DIRECT CHANGE PROVIDES YOU WITH VARIOUS SERVICES.

Effective Date: January 1, 2015

Direct Change provides its services to you subject to the following conditions. Before you may use the Site, you must read and accept all of the terms and conditions in this Terms of Service ("TOS") and the Privacy Policy. By accessing or using the Site in any way, including registering on the Site, accessing or using the Site tools to discuss, organize and take action on issues that matter to you, or browsing the Site, you accept and agree to and are bound by the terms and conditions set forth in these TOS and Privacy Policy and by any changes thereto that Direct Change may publish from time to time. This TOS is a legal agreement between you and Direct Change, Inc. This document explains how that legal agreement is made up, and sets out some of the terms of that agreement, including the terms by which you may use our services. Unless otherwise expressly provided in a separate agreement between Direct Change and you, if this TOS conflicts with any other document, the TOS will control for the purposes of usage of the Site. You may only use certain portions of the Site if you are a Direct Change registered user. If you do not agree to be bound by this TOS and the Privacy Policy, do not access or use the Site in any way.

Description of Services

In the Site, Direct Change provides registered users with tools to discuss, organize and take action on issues that matter to them, to share their opinions, to connect with people who care, to make their case on issues and to read what others think and to collaborate on a better tomorrow (the "Services"). As part of our Services and subject to the terms and condition of a separate agreement between us and the municipality or other governmental entity, we may create custom civic engagement portals to help the people who run the municipality better understand the needs of their constituents, and make it easier for citizens to engage in their community and provide feedback. We may also post advertising through our Site and Services. You are responsible for obtaining access to the Site, and that access may involve third-party fees (such as Internet service provider or airtime charges). In addition, you must provide and are responsible for all equipment necessary to access the Site.

Direct Change is constantly seeking to improve the Site and Services in order to provide the best possible experience for its users. You acknowledge and agree that the form and nature of the Site and Services that Direct Change provides may change from time to time without prior notice to you, unless we otherwise agree in writing.

You acknowledge and agree that while Direct Change may not currently have set a fixed upper limit on the number of transmissions you may send or receive through the Services or on the amount of storage space used for the provision of any Service, such fixed upper limits may be set by Direct Change at any time, at Direct Change’s discretion.

Payments

We may allow you to purchase Services and products using your credit card and/or debit card (together with “Card Services”).We may use a third-party payment processor (the “Payment Processor”) to link your credit card account and/or debit card account to the Services (your “Card Account”) for use of the Card Services.The processing of payments or credits, as applicable, in connection with the Card Services will be subject to the terms, conditions and privacy policies of the Payment Processor and your credit card issuer and/or debit card issuer in addition to this Agreement.We are not responsible for any error that occurs during any payment process, including any error by the Payment Processor. In connection with your use of the Card Services, we will obtain certain transaction details, which we will use solely in accordance with our Privacy Policy.

Content

All information (such as data files, written text, computer software, music, audio files or other sounds, photographs, videos or other images) including discussion issues, feedback, comments, suggestions, ideas, questions, designs, and other similar communications to Direct Change through the Site, which you may have access or submit to as part of, or through your use of, the Services are the sole responsibility of the person from which such content originated. All such information is referred to as the “Content” in this document.

License and Site Access

Direct Change grants you a limited license to access and make personal use of the Site and the Services. You agree to use the Site only to discuss, organize and take action on issues set forth on the Site, to share your opinions, to connect with people who care, to make their case on issues and to read what others think and to collaborate. This license does not include  and does not permit: any downloading or copying of account information for the benefit of another person or any other third party; caching, unauthorized hypertext links to the Site or the framing of any Content available through the Site; uploading, posting, or transmitting any content that you do not have a right to make available (such as, but not limited to, the intellectual property of another party); uploading, posting, or transmitting any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; promoting any unlawful activity or purpose, including without limitation, any activity that could give rise to criminal or civil liability; using, or attempting to gain access to, another’s user name, password, or computer systems, whether through hacking, password mining or any other means use the Site in any manner that infringes any intellectual property rights or other rights of any party; disrupting or interfering with the security of, or otherwise causing harm to, the Site or any Content thereof or systems resources, accounts, user names, passwords, servers or networks connected to or accessible through the Site; transmitting unsolicited or bulk communications to any Direct Change affiliated e-mail address; engaging in any action that imposes or may impose(in Direct Change's sole discretion) an unreasonable or disproportionately large load on Direct Change's infrastructure; or using any data mining, robots, or similar data gathering and extraction tools.

In addition, you may not bypass any measures used by Direct Change to prevent or restrict access to the Site; create a false identity for the purpose of misleading others; download any Content posted by another that you know, or reasonably should know, cannot be legally reproduced, distributed, performed or displayed in such manner; disrupt, interfere with or inhibit any other user from using and enjoying the Site or other affiliated or linked sites; violate any applicable laws or regulations related to the access to or use of the Site; contribute any issue, name, material or information to the Site that is child pornography, defamatory, excessively violent, harassing, inappropriate, indecent, lascivious, lewd, obscene, profane, racist, unlawful, or otherwise objectionable; violate the rights of Direct Change or any third party (including rights of privacy and publicity) or abuse, defame, harass, stalk or threaten another; use any Direct Change domain name as a pseudonymous return e-mail address; pretend to be someone you are not, register more than once, contribute to the same topic multiple times without disclosing as such, or contribute in bad faith; market any goods or services for any business purpose on the Site (including advertising and making offers to buy or sell goods or services), unless specifically allowed to do so by Direct Change or contribute input, feedback or suggestions provided to you by someone else, in consideration for payment of cash or other consideration.

Any unauthorized use by you shall immediately terminate the permission or license granted to you by Direct Change.

Eligibility

The Site and Services are not available to minors under the age of 18 or to any users suspended or removed from the system by Direct Change for any reason. Additionally, you are prohibited from selling, trading, or otherwise transferring your Direct Change account to another party. If you do not qualify, you may not use the Direct Change Services or the Site.

Your Account

In consideration of your use of the Site, you represent that you are of legal age to form a binding contract and are not a person barred from receiving services under the laws of the United States or other applicable jurisdiction. You also agree to provide true, accurate, current and complete information about yourself as prompted by the Site's registration form. If you provide any information that is untrue, inaccurate, not current or incomplete (or becomes untrue, inaccurate, not current or incomplete), or Direct Change has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Direct Change has the right to suspend or terminate your account and refuse any and all current or future use of the Site and Services (or any portion thereof). During the registration process, you will be required to provide us with one or more of the following: your name, birthdate, zip code and email address. We will follow up by sending you an email to verify that you are the owner of the email address. We will use your email address to identify you in our system. If you do not provide the mandatory data required at registration, you will not be able to use the Site. You can choose to provide us with additional optional personal information in your profile, including your gender and mobile phone number.  All required information that you provide during the registration process must be current, complete and accurate and kept up to date on a prompt, timely basis. You must also choose a user name and password in connection with such registration. By accessing or using this Site and setting up a password-restricted profile for the same, you consent to Direct Change’s display of such information and accept all risks of unauthorized access to such information.

You are responsible for maintaining the confidentiality of your account information and password, and for restricting access to your account. You agree to accept responsibility for all activities that occur under your account or password. Because of this, we strongly recommend that you exit from your account at the end of each session. You agree to notify Direct Change immediately of any unauthorized use of your account or any other breach of security. Direct Change reserves the right to refuse service, terminate accounts, or remove or edit content at any time in its sole discretion.

Submitted Content

By submitting any Content, including discussion issues, feedback, comments, suggestions, ideas, questions, designs, and other similar communications to Direct Change through the Site, you agree to be bound by the following terms and conditions. If you do not agree with these terms and conditions, you should not provide any Content through the Site. All Content will be considered NON-CONFIDENTIAL and NON-PROPRIETARY. Direct Change, or any of its affiliates, may use such communication or material for any purpose whatsoever, including, but not limited to, reproduction, disclosure, transmission, publication, display, broadcast, and further posting. Further, Direct Change and its affiliates are free to use , without any obligation to compensate you, any ideas, concepts, know-how, or techniques contained in any communication or material you send to the Site for any purpose whatsoever, including, but not limited to, developing, manufacturing, and marketing products and/or services. By submitting any Content, you are granting Direct Change a perpetual, royalty-free and irrevocable right and license to use, reproduce, modify, adapt, publish, translate, distribute, transmit, publicly display, publicly perform, sublicense, create derivative works from, transfer and sell such Content and to use your name and other identifying information in connection with such Content. Such right and license will survive any termination of this TOS.

In some cases, the sponsor of this Site or a related civic engagement site will be a governmental entity. In such instances, the governmental entity sponsoring the Site or such related site may or may not use the information that you provide on the Site or such related site for the purposes associated with such Site or such related site. It should be noted that such information may or may not be considered public information or public records under applicable state and federal laws. To the extent that anything you contribute to the Site or such related site, including your personal information, is considered a public record or as otherwise belonging to a governmental entity and, therefore, subject to certain local, state or federal disclosure laws, such applicable laws will govern the use and required disclosure of such information.

While Direct Change has no obligation to monitor the Site and is not responsible for the content of any messages, information or files you contribute, our community of users may bring to our attention any postings that are deemed objectionable or otherwise in violation of the Terms of Use. In addition, Direct Change reserves the right to monitor or review the Site at any time. Direct Change may, at any time without notice and in its sole discretion, inactivate, make unavailable and take other appropriate action with respect to messages, information or files which Direct Change, in its sole discretion, deems objectionable or otherwise in violation of the Terms of Use. Such action may include denying access to the Site at any time. Furthermore, Direct Change may, with or without notice and in its sole discretion, terminate your access to or use of the Site as Direct Change deems necessary to comply with applicable law, regulation, legal process or governmental request. All persons are hereby notified that use of the Site constitutes consent to such actions. Direct Change does not endorse and has no control over user submissions. We cannot guarantee the authenticity of any data which users may provide about themselves or related to their idea or submissions. You acknowledge your use of the Site is at your own discretion and you will be solely liable and responsible for any damage or loss to any party resulting therefrom.

NONE OF THE DIRECT CHANGE PARTIES WARRANTS THAT THE SITE WILL BE UNINTERRUPTED OR ERROR FREE OR THAT THIS SITE, ITS SERVER OR ANY FILES AVAILABLE FOR DOWNLOADING THROUGH THE SITE ARE FREE OF COMPUTER VIRUSES OR OTHER HARMFUL ELEMENTS. YOU EXPRESSLY AGREE THAT THE ENTIRE RISK AS TO THE SITE, SERVICES, PRODUCTS, AND CONTENT OBTAINED BY YOU VIA THE SITE IS ASSUMED SOLELY BY YOU. NONE OF THE DIRECT CHANGE PARTIES MAKES ANY, AND HEREBY SPECIFICALLY DISCLAIMS, ANY AND ALL, REPRESENTATIONS, ENDORSEMENTS, GUARANTEES, AND WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SITE, SERVICES, PRODUCTS OR CONTENT OBTAINED VIA THE SITE, INCLUDING WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT OF THIRD-PARTY RIGHTS. YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE SITE, SERVICES, PRODUCTS, OR CONTENT OBTAINED VIA THE SITE IS TO STOP USING THE SITE AND SERVICES.

YOU ACKNOWLEDGE AND AGREE THAT: (i) NEITHER DIRECT CHANGE NOR ANY SPONSOR CONTROLS, ENDORSES, OR ACCEPTS RESPONSIBILITY FOR ANY MATERIALS OR SERVICES PROVIDED OR OFFERED BY THIRD PARTIES OR THIRD PARTIES ACCESSIBLE THROUGH LINKED SITES; (ii) DIRECT CHANGE AND THE SPONSOR(S) MAKE NO REPRESENTATIONS OR WARRANTIES WHATSOEVER ABOUT ANY SUCH THIRD PARTIES, THEIR MATERIALS OR SERVICES; (iii) ANY DEALINGS YOU MAY HAVE WITH SUCH THIRD PARTIES ARE AT YOUR OWN RISK; AND (iv) NEITHER DIRECT CHANGE NOR THE SPONSOR SHALL BE LIABLE OR RESPONSIBLE FOR ANY MATERIALS OR SERVICES OFFERED BY THIRD PARTIES.

DIRECT CHANGE, ON BEHALF OF ITSELF AND ANY SPONSOR, SPECIFICALLY DISCLAIMS ANY LIABILITY WITH REGARD TO THE SITE AND ANY ACTIONS RESULTING FROM YOUR USE OF THE SITE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER DIRECT CHANGE NOR THE SPONSOR WILL HAVE ANY LIABILITY RELATED TO SUBMITTED MATERIALS ARISING UNDER INTELLECTUAL PROPERTY RIGHTS, LIBEL, PRIVACY, PUBLICITY, OBSCENITY OR OTHER LAWS. DIRECT CHANGE, ON BEHALF OF ITSELF AND THE SPONSOR, ALSO DISCLAIMS ALL LIABILITY WITH RESPECT TO THE MISUSE, LOSS, MODIFICATION OR UNAVAILABILITY OF ANY SUBMITTED MATERIALS.

THE USE OF THE SITE IS AT YOUR OWN DISCRETION AND RISK AND WITH YOUR AGREEMENT THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE OR HARM THAT RESULTS FROM SUCH ACTIVITIES.

SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY MAY LAST, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU, TO THE EXTENT PERMISSIBLE.

In the event that Direct Change offers products or Services for sales on the Site, attempts to be as accurate as possible with Services, products descriptions and prices. However, Direct Change does not warrant that Services and product descriptions or prices are accurate. In the event that a Service or product is listed at an incorrect price or with incorrect information due to typographical error or error in pricing or product information received from Direct Change’s suppliers, Direct Change shall have the right to refuse or cancel any orders placed for products listed at the incorrect price. Direct Change shall have the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit or debit card has been charged.

Limitation of Liability

YOU EXPRESSLY UNDERSTAND AND AGREE THAT DIRECT CHANGE AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF DIRECT CHANGE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM USE OF THE SITE, CONTENT, SERVICES OR PRODUCTS PURCHASED VIA THE SITE.

Indemnity

You agree to indemnify, defend and hold the Direct Change Parties harmless from any claim or demand, including reasonable attorneys' fees, or arising out of or related to your breach of this TOS, your use of the Site or Services, or your violation of any law or the rights of a third party.

Electronic Communication

When you use the Site or send emails to Direct Change, you are communicating with Direct Change electronically. You consent to receive communications from Direct Change electronically. Direct Change will communicate with you by email or by posting notices on the Site. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

Governmental Entities

Direct Change intends to comply with all local, state and federal laws related to the required disclosure of any information provided on the Site. In some cases, the sponsor of this Site or a related civic engagement site will be a governmental entity. In such instances, the governmental entity sponsoring the Site or such related site may or may not use the information that you provide on the Site or such related site for the purposes associated with such Site or such related site. It should be noted that such information may or may not be considered public information or public records under applicable state and federal laws. To the extent that anything you contribute to the Site or such related site, including your personal information, is considered a public record or as otherwise belonging to a governmental entity and, therefore, subject to certain local, state or federal disclosure laws, such applicable laws will govern the use and required disclosure of such information.

Links

The Site or third parties may provide links to other World Wide Web sites or resources. Because Direct Change has no control over such sites and resources, you acknowledge and agree that Direct Change is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products or other materials on or available from such sites or resources. You further acknowledge and agree that Direct Change shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such site or resource.

You may be able to access the Site from certain third party websites that are not affiliated with or related to this Site (i.e., Facebook, Linkedin, etc.). Neither Direct Change nor a sponsor is responsible for any information that you submit or actions that you take on these third party sites, and each disclaims and all liability from any claims, damages or causes of action that may arise out of or relate to your use of such sites.

Access To Password Protected/Secure Areas

Access to and use of password protected and/or secure areas of the Site is restricted to authorized users only. Unauthorized individuals attempting to access these areas of the Site may be subject to prosecution.

Modification and Notification of Changes

Direct Change reserves the right to make changes to the Site, Services, related policies and agreements and this TOS at any time. Unless we otherwise agree in writing, as part of our continuing improvement, you acknowledge and agree that Direct Change may stop (permanently or temporarily) providing the Services (or any features within the Services) to you or to users generally at Direct Change’s sole discretion, without prior notice to you.

If Direct Change makes a material modification to this TOS or the Privacy Policy, it will notify you by displaying a prominent announcement above the text of this TOS, as appropriate, for thirty (30) days, and you agree that such notification shall be sufficient notification of such changes.

After notice of a modification to the TOS has been posted for thirty (30) days, the notice will be removed. If you have not used the Site for more than thirty (30) days, you should check for any modifications to the TOS prior to any further use of the Site. Should you wish to terminate your account due to a modification to the TOS, you may do so by logging into your account and terminating your account. If you choose to continue using the Site and/or Services after any such changes have been made, you agree that by doing so you will be deemed to accept the new TOS.

Intellectual Property Rights

The trademarks, logos and service marks ("Marks") displayed on the Site are the property of Direct Change and other parties. Users are prohibited from using any Marks for any purpose including, but not limited to use as metatags on other pages or sites on the Internet without the written permission of Direct Change or such third party which may own the Marks. All information and Content available on or through the Site, including, without limitation, any software programs, is protected by copyrights, trademarks, trade secrets, patents or other proprietary rights and is the property of Direct Change or its third party licensors. You agree to comply with all intellectual property laws and you shall not encumber any interest in, or assert any rights to, the Content. You are prohibited from modifying, copying, distributing, transmitting, displaying, publishing, selling, licensing, creating derivative works or using any Content available on or through the Site for commercial or public purposes.

Procedure for Claims of Intellectual Property Infringement

Direct Change respects the intellectual property of others, and we ask our users to do the same. Direct Change may, in appropriate circumstances and at its discretion, disable and/or terminate the accounts of users who may be infringing the intellectual property of a third party. If you believe that your work has been copied in a way that constitutes copyright infringement, or your intellectual property rights have been otherwise violated, please provide Direct Change's Copyright Agent the following information: (i) an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest; (ii) a description of the copyrighted work or other intellectual property that you claim has been infringed; (iii) a description of where the material that you claim is infringing is located on the Site; (iv) your address, telephone number, and email address; (v) a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; (vi) a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright or intellectual property owner or authorized to act on the copyright or intellectual property owner's behalf.

Direct Change may update this mailing address from time to time. You agree that changes to this mailing address shall not constitute a modification to this TOS for the purposes of this section.

Termination of Your Use of Our Services

You agree that we, in our sole discretion, may terminate your access to and use of our Services, and/or remove, discard or modify any Content within the Services, for any reason, including, without limitation, for lack of use or if we believe that you have violated or acted inconsistently with the letter or spirit of this Agreement.You agree that any termination of your access to our Services may be effected without prior notice, and acknowledge and agree that we may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or our Services.  Further, you agree that we shall not be liable to you or any third party for the discontinuation or termination of your access to our Services, even if advised of a claim for damages. If you wish to terminate your account, you may do so.

Survival of Terms After Agreement Ends

Notwithstanding any other provisions of this TOS, or any general legal principles to the contrary, any provision of this TOS that imposes or contemplates continuing obligations on a party will survive the expiration or termination of this TOS.

General

If any of these conditions are deemed invalid, void, or for any reason unenforceable, the parties agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the unenforceable condition shall be deemed severable and shall not affect the validity and enforceability of any remaining condition. From time to time Direct Change may offer special promotional offers which may or may not apply to your Direct Change account. You agree to be bound by any additional terms and conditions for these special offers. Headings are for reference purposes only and do not limit the scope or extent of such section. This TOS and the relationship between you and Direct Change will be governed by the laws of the State of Florida without regard to its conflict of law provisions. You and Direct Change agree to submit to the exclusive personal jurisdiction and venue of the federal and state courts located in Miami-Dade County in the State of Florida with respect to any legal proceedings that may arise in connection with this TOS. The failure of Direct Change to act with respect to a breach by you or others does not waive its right to act with respect to subsequent or similar breaches. Except as otherwise expressly provided in this TOS, there shall be no third-party beneficiaries to this TOS. This TOS, together with the Privacy Policy and any other document linked to from this TOS, constitutes the entire agreement between you and Direct Change and governs your use of the Site and Services, superseding any prior agreements between you and Direct Change with respect to the Site and Services.

Any distribution of your referral link that could constitute unsolicited commercial email or "spam" under any applicable law or regulation, or any posting of this link on any website or social media or other forum is expressly prohibited and will be grounds for immediate termination of your account.
